Terms of Service

By accessing or using ConvoAlly (the "Service"), including the web application, desktop application, and any associated services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• Account sharing is prohibited. Each account is for a single individual user only.

ConvoAlly is an AI-powered interview preparation and assistance tool that provides:

• Real-time AI-generated answer suggestions during live interviews.
• Speech-to-text transcription of interview conversations.
• AI coaching reports and session analytics.
• Practice mode with mock interviews and flashcards.
• Knowledge Base for storing resumes, job descriptions, and other documents.
• Company intelligence profiles for interview preparation.
• Desktop application with a floating overlay window that is excluded from screen-share captures, plus native audio capture features.

You agree NOT to use the Service to:

• Engage in fraud, deception, or misrepresentation to employers or interviewers.
• Impersonate another person or misrepresent your qualifications.
• Violate any applicable law, regulation, or third-party rights.
• Share, resell, or redistribute your account access or the Service's output commercially.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Scrape, crawl, or use automated tools to extract data from the Service.
• Attempt to bypass usage limits, authentication, or security measures.
• Upload malicious content, malware, or content that infringes intellectual property rights.
• Harass, abuse, or harm other users or our staff.
• Use the Service in any way that could damage, overload, or impair our infrastructure.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without notice or refund.

We encourage ethical use of the Service. While we provide real-time interview assistance, you should be aware that:

• Some employers may have policies regarding the use of AI assistance during interviews.
• You are responsible for understanding and complying with any employer policies or interview rules.
• We recommend using the Service primarily as a preparation and practice tool.
• The decision of how and when to use the Service during actual interviews is entirely yours.

8.1 Plans and Billing

• The Service offers free and paid subscription plans with varying usage limits and features.
• Paid subscriptions are billed monthly in advance through Stripe.
• Prices are listed in USD and may be subject to applicable taxes.

8.2 Auto-Renewal

• Paid subscriptions automatically renew at the end of each billing period.
• You will be charged the then-current price for your plan at renewal.
• You may cancel auto-renewal at any time from your account settings.

8.3 Price Changes

We reserve the right to change subscription prices. We will notify you at least 30 days before any price increase takes effect. Continued use after a price change constitutes acceptance.

8.4 Usage Limits

Each plan includes a monthly allocation of session minutes. Unused minutes do not roll over. If you exhaust your minutes, you may upgrade your plan or wait until the next billing period.

• You may cancel your subscription at any time from your account settings.
• Cancellation takes effect at the end of the current billing period.
• You retain full access to paid features until the end of the period you have already paid for.
• After cancellation, your account reverts to the Free tier.
• Your data (transcripts, documents, settings) is preserved unless you request account deletion.

10.1 Our Intellectual Property

The Service, including its design, code, features, AI models, company intelligence data, and all associated intellectual property, is owned by ConvoAlly. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

10.2 Your Content

You retain ownership of content you upload (resumes, documents, etc.). By uploading content, you grant us a limited, non-exclusive license to use it solely for the purpose of providing the Service to you. We will not share, sell, or use your content for any other purpose.

10.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to compensate you.

You agree to indemnify, defend, and hold harmless ConvoAlly, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Content you upload to the Service.

• We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.
• Reasons for termination include, but are not limited to: violation of these Terms, fraudulent activity, non-payment, or abuse of the Service.
• Upon termination, your right to use the Service ceases immediately.
• Sections related to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions.

14.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall take place in Delaware or remotely, at the election of the claimant.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action.

14.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional amount.

If you believe content on the Service infringes your copyright, please send a notice to legal@convoally.ai with:

• A description of the copyrighted work.
• The location of the allegedly infringing content.
• Your contact information.
• A statement of good faith belief that the use is unauthorized.
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.

The Service integrates with third-party services including:

• Stripe: Payment processing.
• Google: Calendar integration and OAuth authentication.
• Anthropic / OpenAI: AI language model providers.
• Deepgram: Speech-to-text transcription.

Your use of these third-party services is subject to their respective terms and privacy policies.

• Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ConvoAlly.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
• Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
